Terms and conditions for using the Tlaloc Web Services platform and APIs

These Terms and Conditions ("Terms") govern the relationship between you ("Client", "you") and TLALOC WEB SERVICES, Sociedad por Acciones Simplificada de Capital Variable ("Tlaloc", "we", "us"), with RFC TWS241119PK0 and domicile in Zapopan, Jalisco, Mexico, regarding the use of the Tlaloc platform and its API services (the "Service").

By creating an account or using the Service, you accept these Terms in their entirety.

1. Description of the Service

Tlaloc operates a digital services platform accessible through APIs that includes:

  • Mexico-API: Mexican data validation APIs (CURP, RFC, postal codes, phone numbers, and others).
  • Tlaloque: Configurable artificial intelligence assistants.

Both services are consumed through a prepaid service unit balance system.

2. Accounts

2.1 Registration

To use the Service you must create an account at console.tlaloc.sh providing truthful and up-to-date information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2.2 API Keys

API keys are personal and non-transferable. You must:

  • Keep your API keys secure and confidential.
  • Not share API keys with unauthorized third parties.
  • Notify us immediately in case of compromise or unauthorized use at hello@tlaloc.sh.

Tlaloc shall not be liable for unauthorized use of API keys resulting from the Client's negligence in their custody.

3. Billing Model and Prepaid Balance

3.1 Service units

The Service operates through a prepaid balance system. The Client acquires service units that are consumed when using the platform.

3.2 Payment method

The only accepted payment method is electronic transfer via SPEI to the bank account indicated at console.tlaloc.sh. Units are credited to the Client's account once the deposit is confirmed.

3.3 Unit consumption

  • Mexico-API: Each API call consumes a number of units depending on the endpoint used, as specified in the current documentation.
  • Tlaloque: Each active assistant consumes 600 units daily, charged automatically at the beginning of each day.

3.4 Insufficient balance

  • Mexico-API: API calls will be rejected when there is insufficient balance.
  • Tlaloque: If there is insufficient balance to cover the daily consumption, the assistant is suspended. If the assistant remains suspended for 30 consecutive days, it is permanently deleted along with its data and configuration.

3.5 Balance validity

Service units expire 12 months from the date they are credited. Tlaloc will send a notice by email 30 days before expiration. Expired units are removed from the balance without the possibility of recovery.

3.6 Non-refundable

Service unit balances are non-refundable under any circumstances, except when expressly required by applicable law. By making a deposit, the Client accepts that the units acquired are subject to the validity and consumption conditions established in these Terms.

4. Invoicing

4.1 CFDI

Tlaloc issues Digital Tax Receipts via Internet (CFDI) for all deposits received.

4.2 Invoice with fiscal data

The Client may configure their fiscal data (RFC, business name, tax regime, fiscal postal code, and CFDI usage) at console.tlaloc.sh. When fiscal data is configured, the individual CFDI is issued at the time of deposit confirmation with the data provided by the Client.

It is the Client's responsibility to provide correct and current fiscal data. Tlaloc shall not be liable for errors in CFDIs resulting from incorrect data provided by the Client.

4.3 General public invoice

If the Client does not configure fiscal data, Tlaloc will issue a global CFDI to the General Public at the end of each month, covering the deposits received during that period.

4.4 Invoiced concept

All CFDIs are issued under the concept "Tlaloc platform service units" (SAT code 81112106 — Application service providers, unit E48 — Service unit).

5. Permitted and Prohibited Uses

5.1 Authorized use

The Service is provided exclusively for integration into the Client's applications and systems in accordance with the available technical documentation.

5.2 Prohibited uses

It is prohibited to use the Service for:

  • Activities that violate applicable Mexican or international laws.
  • Harassment, abuse, identity theft, or harm to third parties.
  • Sending unsolicited communications (spam) or fraudulent activities.
  • Attempting to access other users' data or Tlaloc's internal systems.
  • Reverse engineering, decompilation, or extraction of the Service's source code.
  • Generating excessive or artificial load that affects Service availability for other users.
  • Resale or redistribution of the Service without written authorization from Tlaloc.

Tlaloc reserves the right to suspend or cancel accounts that engage in prohibited uses, without the right to reimbursement of remaining balance.

6. Data Processing

6.1 API request data

Data sent through the APIs (CURP, RFC, phone numbers, postal codes, etc.) may be temporarily stored for a maximum of 30 days for the purpose of identifying technical issues, improving service quality, and ensuring proper operation. After this period, the data is automatically and permanently deleted.

6.2 AI assistant data (Tlaloque)

Conversations and configurations of AI assistants are stored while the assistant is active. If the assistant is deleted (by Client request or after 30 days of suspension due to insufficient balance), its data is permanently deleted.

6.3 Client responsibility

The Client is responsible for complying with applicable data protection laws regarding third-party personal information processed through the Service, including Mexico's Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).

7. Service Levels and Availability

7.1 Availability

Tlaloc will make commercially reasonable efforts to maintain Service availability. 100% availability is not guaranteed. Scheduled maintenance windows will be communicated in advance when possible.

7.2 Data accuracy

Validation API responses depend on governmental and third-party data sources. Tlaloc does not guarantee the accuracy, completeness, or currency of data obtained from such sources.

8. Intellectual Property

All software, documentation, trademarks, designs, and content of the Service are the property of Tlaloc or its licensors. These Terms do not transfer any intellectual property rights to the Client. Only a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms is granted.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available", without warranties of any kind, express or implied.
  • Tlaloc shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, lost profits, or business interruption.
  • Tlaloc's total cumulative liability to the Client shall not exceed the total amount paid by the Client in the 12 months prior to the event giving rise to the claim.

10. Modifications

Tlaloc may modify these Terms at any time. Modifications will be published at console.tlaloc.sh and notified by email with at least 15 days' advance notice before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

11. Termination

11.1 By the Client

The Client may close their account at any time through console.tlaloc.sh. Remaining balance will not be refunded.

11.2 By Tlaloc

Tlaloc may suspend or terminate access to the Service:

  • For violation of these Terms (immediate effect).
  • For lack of use during 12 consecutive months (with 30 days' prior notice).
  • For any justified business reason (with 30 days' prior notice).

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Mexican States. For the resolution of any dispute, the parties submit to the jurisdiction of the competent courts of Zapopan, Jalisco, Mexico, waiving any other jurisdiction that may correspond to them by reason of present or future domicile.

13. Severability

If any provision of these Terms is declared null or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Notice, constitute the entire agreement between the Client and Tlaloc regarding the use of the Service, and replace any prior agreements or understandings.
